Job Description
Overview

The Governance Analyst is responsible for the implementation of robust and proportionate corporate governance processes for group entities globally. This includes partnering with US and UK-based team members and other global stakeholders to complete all necessary actions to facilitate proper board operations, as well as the management of a range of corporate governance processes to support group-wide corporate governance. As needed, the role will complete governance-related research and corporate filing requirements.

The role is being recruited for a period of 12 months on a Fixed Term Contract reporting to the Associate Director, International Governance, London.

Responsibilities
  1. Administer governance operations procedures designed to facilitate the completion of board and committee meetings annually across the group. This includes managing workflows for the development, aggregation, and recording of board/committee meeting materials, meeting minutes, traction reports, meeting logistics, and other activities in support of board operations globally.
  2. Support the development and management of board meeting agendas, board resolutions, and meeting minutes. Partner with stakeholders globally to organize the collection of meeting materials for board/committee meetings. Review and/or produce clear and concise reports for board meetings or senior management as needed. Produce board or committee minutes as needed.
  3. Act as a subject matter expert for the board portal and related implementation procedures; support staff training as it relates to the board portal.
  4. Within the corporate repository, complete record-keeping activities related to global board operations and other governance activities.
  5. Complete and/or assist with corporate information requests or document productions in support of global regulatory exams, internal audits, and other client or vendor due diligence reviews.
  6. As directed, assist in or complete special projects/assignments on an as-needed basis in support of governance initiatives such as corporate structure changes or entity/branch formation.
  7. Assist in the completion of periodic effectiveness surveys for all group boards and certain key functions including risk, compliance, and internal audit.
Skills
  1. Knowledge of board operations, board resolution development, board surveys, director training, or the completion of other related corporate governance activities. Experience supporting governance requirements in an international setting will be an advantage.
  2. Prior research experience focused on corporate law or financial services industry rules in governance, legal, compliance, policy development, or regulation.
  3. Highly developed interpersonal skills with the ability to relate well to stakeholders and colleagues at all levels of the organization.
  4. Excellent verbal and written communication skills with excellent attention to detail and exemplary drafting and proofing abilities.
  5. Excellent reading comprehension skills with the ability to decipher complex concepts in a legislative format.
  6. Extremely organized with a commitment to maintaining user-friendly systems, procedures, and records.
  7. Ability to prioritize complex and competing demands and highly competent at multitasking.
  8. Be a collaborative team player with a flexible approach.
  9. Be able to identify and recommend improvements to existing processes, to align with developments in governance practice and improve effectiveness and efficiency.
