Your new role: The Group General Counsel (GC) is a Senior Leader within DCA and will support the development and delivery of DCA's strategy and facilitate the implementation of a commercially sustainable business model and efficient operations. The General Counsel will undertake other activities as requested that may be outside of their primary focus but contribute to the overall success of the Company, as directed by the CEO, CFO, or Board.

Role breakdown:

  1. Commercial legal matters: Contract reviews, legal advice, business legal support, corporate activity (e.g., reorganisations, M&A), management of external legal instructions (40%)
  2. Data Protection Officer (DPO): Oversight of data protection compliance, policies, and training (20%)
  3. Company Secretary: Board and ELT support, governance, compliance, policy and procedure reviews, Annual Report and ASX management (30%)
  4. Other duties as required (10%)

General Counsel Responsibilities

  • Provide strategic and operational legal advice to the Executive Leadership Team (ELT) and the Board.
  • Ensure compliance with legal and regulatory requirements across all business areas.
  • Draft, review, and negotiate a range of contracts, including distribution, supply, sales, IT, procurement, and service agreements.
  • Oversee corporate governance policies and ensure adherence to compliance obligations, including Anti-Trust, Anti-Bribery & Corruption, Modern Slavery, and Data Protection.
  • Manage external legal instructions and budgets.

Company Secretary Responsibilities

  • Support the Board and Committees, ensuring timely provision of meeting papers and effective governance processes.
  • Advise on regulatory compliance, particularly with ASX listing requirements.
  • Administer the Company's share option schemes and corporate filings across multiple jurisdictions.
  • Draft the non-financial sections of the annual report and review ASX announcements.
  • Oversee compliance with corporate entity regulations in Australia, England, and other relevant jurisdictions.

Data Protection Officer (DPO) Responsibilities

  • Ensure compliance with data protection laws, including the UK GDPR, Data Protection Act 2018, and relevant healthcare regulations.
  • Act as the primary point of contact for data protection queries and liaison with the Information Commissioner's Office (ICO).
  • Develop and maintain data protection policies, ensuring integration into business processes and operations.
  • Lead on Data Protection Impact Assessments (DPIAs) and ensure appropriate controls are in place for data processing activities.
  • Conduct data protection audits and risk assessments, recommending and implementing improvements.
  • Oversee staff training on data protection and information security, working closely with the Head of Digital Security and the Head of Governance, Risk & Compliance.
  • Ensure proper incident management for data breaches, including reporting obligations.

Key Experience & Person Specification

  • Qualified lawyer with extensive experience in commercial and regulatory law.
  • Proven in-house legal experience, ideally within a regulated industry such as healthcare or insurance.
  • Strong ability to provide strategic and practical legal advice, translating complex legal issues into clear business guidance.
  • Experience as a Company Secretary, with knowledge of ASX regulations preferred.
  • Knowledge of data protection laws and experience in managing compliance frameworks in a healthcare setting.
  • Strong communication, negotiation, and stakeholder management skills.
  • Ethical and independent thinker, capable of providing objective advice and constructive challenge to senior leadership.
  • Resilient and adaptable, with the ability to work effectively in a fast-paced, evolving business environment.
  • Hands-on leadership approach, fostering collaboration and continuous improvement.
