Job Description

As a member of Trayport's legal team, you will be an integral part of the broader TMX Legal & Corporate Affairs team (LCA). Reporting to the Head of Commercial and Legal, you will be responsible for advising and managing stakeholders across Trayport Limited and its affiliates on a variety of commercial and transactional matters throughout the organization.

Responsibilities

  • Draft, review, and negotiate a wide range of contracts on behalf of various internal business units.
  • Collaborate closely with the vendor management team on all types of supplier contracts, including technology and intellectual property licensing, software development, outsourcing, professional and support services, service levels, proof of concept, consulting services, purchasing, distribution, revenue share, and other commercial agreements.
  • Work with business units to develop and maintain standard form agreements for the products and services offered by the company in support of strategic initiatives and day-to-day operations.
  • Provide contract support for complex commercial transactions, including strategic projects, business alliances, internal reorganizations, acquisitions, and divestitures.
  • Offer legal guidance and support in developing and executing commercial strategies, including support for the launch of new products/services, and the procurement of new businesses, assets, technologies, and outsourcing transactions.

The Person

  • Practicing in England and Wales or European-qualified, with membership in good standing with the Law Society or a similar designation in another European jurisdiction.
  • A solid understanding of technology, data rights, and Software as a Service (SaaS). Experience with API licensing is a plus.
  • A qualified legal professional with at least 3+ years of relevant experience.
  • Proven experience drafting, negotiating, structuring, and advising on various types of commercial contracts and transactions, including disputes and matters related to information technology and procurement.
  • Strong commercial awareness with the ability to assess risk and provide sound advice to business stakeholders.
  • Good overall understanding of intellectual property law and technology-related legal principles, including open source.
  • Experience in protecting intellectual property and managing IP portfolios (including trademarks, domain names, patent applications, patents, and copyrights) is a significant asset.
  • Excellent written and verbal communication, negotiation, and drafting skills, with a proven ability to exercise sound legal and business judgment.
  • Experience in policy management and development.
  • Outstanding analytical and problem-solving skills with strong attention to detail.
  • Able to handle fast-paced requests and work to strict deadlines while effectively prioritizing workload.
  • Outcome-focused and pragmatic, with the ability to simplify legal concepts for business colleagues and non-legal audiences.
  • Team-oriented with the ability to build relationships at all levels of the organization.
