About the RoleGroup Governance is the global governance team that provides governance and company secretarial support to the Chairman, the Board, Board Committees, and subsidiary entities.
The Analyst Group Governance UK role has overall responsibility to support the Principal Group Governance Americas in managing the provision of subsidiary management services for entities in Minerals Americas, Canada, and Legacy Assets in the Americas.
As a key member of an integrated and dynamic Governance team, the role will additionally support the wider UK Group Governance team, including organising approval processes for non-US entities, standardising BHP templates, and arranging meetings and training.
Responsibilities- Assist the Principal Group Governance Americas with filing annual returns, financial statements, and statutory corporate filings across multiple jurisdictions.
- Support the management of shareholder meeting logistics for subsidiaries, including preparation of papers and minutes.
- Assist in granting and revocation of powers of attorney for certain subsidiaries.
- Complete KYC requests from Cayman agents and other relevant third parties.
- Support the Group Governance team in assisting directors and officers with appointments, resignations, and training.
- Manage board and shareholder meeting logistics, including distribution of meeting agendas and papers.
- Monitor external governance changes across relevant jurisdictions.
- Contribute to the annual Group Governance Representation Letter for subsidiaries.
- Prepare and manage the regional team's budgets.
- Ensure compliance with record-keeping requirements.
- Advise on the closure of entities and creation of legal entities as required.
- Update and maintain data and documents in relevant systems.
- Perform business-specific requirements as needed.
- Paralegal or company secretarial certification.
- Experience in building trusting relationships with key stakeholders.
- Practical experience in managing matters in multiple jurisdictions.
- Proactive in taking on new tasks and creating efficiencies.
- Ability to recognize and prioritize key governance matters.
- Excellent oral and written communication skills.
- High-level skills in Microsoft Office products and relevant systems.
