In this context, L-Acoustics is creating the position of General Counsel, Tax, Legal and Compliance to elevate its legal division and reposition it as a strategic business partner setting the foundation for sustainable growth.
The General Counsel, Tax, Legal and Compliance is responsible for providing strategic legal guidance, managing risks, and ensuring compliance with applicable laws and regulations. The General Counsel plays a critical role in shaping the organization's legal and business strategies. Furthermore, the General Counsel will have an operational and hands-on responsibility as it pertains to strategic legal, tax and compliance matters.
Responsibilities
More precisely, the General Counsel, Tax, Legal and Compliance will be accountable for:
Legal Leadership and Strategy:
- Develop and implement legal strategies aligned with the organization's overall goals.
- Advise the Exco on legal matters, including mergers and acquisitions (M&A), tax implications, compliance, and risk management.
- Anticipate legal trends and proactively address potential challenges.
Tax and Regulatory Compliance:
- Provide guidance on tax planning, optimization, and compliance.
- Monitor changes in tax laws and regulations.
- Work closely with finance and accounting teams to ensure tax compliance.
Risk Management:
- Identify legal risks and develop risk mitigation strategies.
- Review contracts, agreements, and legal documents to minimize exposure.
- Implement policies and procedures to enhance risk management across the organization.
Legal Operations:
- Manage the legal department, including hiring, training, and performance evaluation of legal staff.
- Oversee external legal service providers.
- Handle litigation, disputes, and regulatory investigations.
Mergers and Acquisitions (M&A):
- Oversee legal aspects of M&A transactions, including due diligence, negotiation, and documentation.
- Collaborate with external counsel, investment bankers, and other stakeholders.
- Ensure compliance with regulatory requirements during M&A activities.
Corporate Governance:
- Advise the board of directors and Exco on corporate governance matters.
- Ensure compliance with corporate governance best practices.
- Draft and review corporate policies and charters.
Agreements and Contracts:
- Draft, review, and negotiate agreements that minimize risks and maximize legal rights.
- Collaborate with business units to ensure contract compliance.
- Provide legal guidance on complex contractual matters.
Intellectual Property (IP) Management:
- Oversee the valuation and protection of our innovations, including managing patent filings and coordinating with our research and development (R&D) teams.
- Collaborate with external Counsel for Patent and Intellectual Property (CPI) to ensure effective IP management.
- Lead efforts to combat counterfeiting and unauthorized use of our IP.
Patent Portfolio Management:
- Strategically manage our portfolio of patents, ensuring alignment with business goals.
- Evaluate patent opportunities, assess risks, and guide decision-making on patent applications.
- Monitor patent expiration dates and coordinate renewals.
Trademark and Brand Management:
- Oversee the brand portfolio, including trademark registrations and enforcement.
- Work closely with marketing and product teams to protect our brand identity.
- Handle any trademark disputes or infringement issues.
Real Estate and Insurance Matters:
- Handle intricate legal matters related to real estate transactions, leases, and property management.
- Provide expert advice on insurance-related issues, risk management, and claims.
Litigation and Dispute Resolution:
- Collaborate with external counsel when necessary to guide management through litigation processes.
- Strategically address disputes, ensuring optimal outcomes for our organization.
Employee Relations and Employment Law:
- Provide sound legal advice on employment law matters, including contracts, terminations, and workplace policies.
- Skillfully handle employee disputes, fostering a fair and compliant work environment.
Ethics and Integrity:
- Base decision-making processes on ethics and integrity.
- Create associations of trust and respect with key stakeholders.
- Uphold the highest standards of professional conduct.
