Director, Secured Issuance, Group Corporate and Treasury Legal

The primary focus of the role is to lead execution of, advise on and manage both existing and new securitisation platforms by supporting Treasury's Principal Funding and Securitisation teams in their execution and day-to-day management of such platforms through direct interactions and committee and governance processes. As part of this, the role involves ensuring that Legal consistently has a "seat at the table" and a strong strategic partnership with the businesses.
The role will involve working on forward flow deals, the firm's collateral arrangements with central banks, and interpretation of and advising on complex regulatory issues, including in relation to the Securitisation Regulation, CRR and the ring-fencing regime (EAPO).
The candidate will be expected to provide regular briefings to senior members of the Legal function around the risk profile of the business.
The candidate will need to collaborate closely with external counsel to understand and mitigate risk whilst controlling costs.
The role will require the candidate to work with colleagues from across the Legal Function, Finance Regulatory Policy, tax and other areas including across Barclays' global footprint to ensure that subject matter experts are fully involved in all relevant discussions.
The candidate will need to take ownership for a large number of existing platforms and act as a legal coverage Lead within the firm's issuance governance process. In addition, the candidate will need to own responsibility for a number of deliverables related to securitisation in supporting wider legal function initiatives in managing legal risk.
Stakeholder Management and LeadershipStakeholder management of the various Treasury business teams involved in securitisation will be key to this role and engagement with stakeholders at Treasurer-level will be necessary, as well as presentation at various fora and boards.
The candidate will need to manage challenges from a wide range of internal stakeholders, including from outside Treasury, and demonstrate ability to drive through solutions whilst at the same time appropriately mitigating relevant risks for Barclays.
Essential Skills/Basic Qualifications:- Qualified lawyer (preferably English law) with strong experience supporting securitisation and advising upon the related regulatory landscape, including in relation to significant risk transfer transactions.
- Proven experience playing an active role in governance committees within a financial services organisation and managing and implementing control processes.
- Detailed knowledge and understanding of the UK regulatory framework in which Barclays operates.
- Highly proactive, organised and resourceful.
- Excellent communicator with the ability to analyse complex issues and present the analysis and recommendations in a clear and concise way for all stakeholders.
- Capable of delivering creative solutions in difficult situations and under pressure.
- Strongly desired: Experience of Residential Mortgage Backed Securitisation, credit card master trusts and Collateral Loan Obligations.
- Experience of significant risk transfer securitisations and the application of the CRR.
- Deep familiarity with offering and listing rules, central bank facilities.
- Useful: knowledge of derivatives and/or the ring-fencing rules.
To ensure that the bank's corporate and corporate governance (including public disclosures) is maintained through the creation and periodic review of Legal documents in accordance with contractual arrangements policy.
Accountabilities- Development and implementation of best practice legal strategies for risk management and compliance.
- Legal advice and support to the bank on a wide range of legal issues, including disclosure and financial reporting, company and corporate law issues, corporate governance, Group Treasury securities issuances and programmes, regulatory capital, recovery and resolution planning and disclosures and contractual arrangements with financial utility providers.
- Representation of the bank in legal proceedings related to company and corporate legislation and regulatory requirements, Barclays' public disclosures, Group Treasury securities issuances and programmes, recovery and resolution planning and disclosures regulatory capital and network management, such as litigation, arbitration, and regulatory investigations, working together with other internal teams as appropriate.
- Creation and review of legal documents such as public disclosures, results announcements, securities offering documents, contracts, policies, and procedures to ensure compliance with applicable laws and regulations.
- Legal research and analysis to stay up to date on changes in laws and regulations that may impact the bank's corporate and corporate governance, public disclosure, financial reporting, Group Treasury securities issuances, recovery and resolution planning, regulatory capital and network management activities.
- Developing and delivering training programmes to educate employees on legal and regulatory requirements related to corporate and company law issues, corporate governance, treasury securities issuances, recovery and resolution planning, regulatory capital and network management.
- Pro-active identification, communication, and provision of legal advice on applicable laws, rules and regulations (LRRs). Keeping up to date with regards to changes to LRRs in the relevant coverage area. Ensuring that LRRs are effectively allocated to, and adequately reflected within, the relevant policies, standards and controls.
- To manage a business function, providing significant input to function wide strategic initiatives. Contribute to and influence policy and procedures for the function and plan, manage and consult on multiple complex and critical strategic projects, which may be business wide.
- They manage the direction of a large team or sub-function, leading other people managers and embedding a performance culture aligned to the values of the business. Or for an individual contributor, they lead organisation wide projects and act as deep technical expert and thought leader, identifying new ways of working and collaborating cross functionally. They will train, guide and coach less experienced specialists and provide information affecting long term profits, organisational risks and strategic decisions.
- Provide expert advice to senior functional management and committees to influence decisions made outside of own function, offering significant input to function wide strategic initiatives.
- Manage, coordinate and enable resourcing, budgeting and policy creation for a significant sub-function.
- Escalate breaches of policies / procedure appropriately.
- Foster and guide compliance, ensure regulations are observed that relevant processes in place to facilitate adherence.
- Focus on the external environment, regulators, or advocacy groups to both monitor and influence on behalf of Barclays, when appropriate.
- Demonstrate extensive knowledge of how the function integrates with the business division / Group to achieve the overall business objectives.
- Maintain broad and comprehensive knowledge of industry theories and practices within own discipline alongside up-to-date relevant sector / functional knowledge, and insight into external market developments / initiatives.
- Use interpretative thinking and advanced analytical skills to solve problems and design solutions in often complex/ sensitive situations.
- Exercise management authority to make significant decisions and certain strategic decisions or recommendations within own area.
- Negotiate with and influence stakeholders at a senior level both internally and externally.
- Act as principal contact point for key clients and counterparts in other functions/ businesses divisions.
- Mandated as a spokesperson for the function and business division.
